Service Agreement
Effective date: [DATE ACCEPTED]
Parties
This Service Agreement is between Sumday LLC, a Wyoming limited liability company, trading as Sumday (“Sumday,” “we,” or “us”), and the business identified below (“Client” or “you”).
1. Your engagement
- Client legal or trading name: [CLIENT BUSINESS NAME]
- Authorized representative: [CLIENT NAME]
- Contact email: [CLIENT EMAIL]
- Order reference: [ORDER REFERENCE]
- Covered entities: [ENTITY NAMES OR ENTITY COUNT]
- Service start arrangements: As described below and in your setup email.
You confirm that you have authority to accept this Agreement for the Client and authorize the selected services and payments.
2. Selected services and fees
Your order summary forms part of this Agreement.
[ACCEPTED ORDER SUMMARY — COMPLETED AT CHECKOUT]
Services not identified in the accepted summary are not included.
3. Bookkeeping scope
Unless modified in your accepted scope, recurring bookkeeping includes:
- Categorizing business transactions.
- Reconciling supported bank and credit card accounts.
- Preparing monthly financial reports.
- Following up on missing information needed for bookkeeping.
- Organizing bookkeeping records for your tax accountant.
- Communicating about the ongoing bookkeeping work.
The work depends on the records, access, and explanations you provide. Specific reporting periods, delivery arrangements, and responsibilities will be confirmed during setup.
No particular completion date or close deadline applies unless agreed in writing.
4. Optional services
Accounts payable
Where selected, we help organize supplier bills and coordinate agreed approval and payment workflows. Routine bill administration: collecting and coding vendor bills, routing them for a single approval step and preparing scheduled payment runs for you to release.
You retain responsibility for approving bills and payments unless a specific written authorization assigns a defined task to Sumday. This service does not automatically authorize us to release funds.
Payroll coordination
Where selected, we coordinate agreed payroll inputs, changes, deadlines, and workflows. Coordination only: preparing payroll inputs for your approval and recording each run in your books. Payroll is processed through your payroll provider; payroll tax filing, tax remittance and payroll-software fees are not included.
You remain responsible for providing accurate employee information and approvals. Tax filings, remittances, employment advice, and other payroll functions are included only where expressly stated.
Historical cleanup
Where selected, we perform the agreed historical bookkeeping work for the periods and entities identified in your order.
Historical cleanup is available only with a recurring bookkeeping plan. It is billed separately from recurring monthly services.
The timing and sequence of cleanup will be established after we receive the necessary records and access.
5. Pricing assumptions
Bookkeeping pricing depends on the workload and complexity represented in your order.
Each additional business entity adds 75% of the original base bookkeeping price. This adjustment is not compounded.
Selected additional services are charged in full per entity:
- Accounts payable: $199 per month, per entity.
- Payroll coordination: $49 per month plus $6 per person, per entity.
- Historical cleanup: $99 per historical month, per entity.
If one payroll person count is entered for multiple entities, the order estimate applies that count to each entity. If one cleanup-month count is entered, it applies to each covered entity.
Differences between entities must be identified during setup.
The accepted order summary controls the charges for your engagement. A later change to website pricing does not itself amend this Agreement.
6. Payment and recurring billing
The total shown as due at checkout is charged when you complete payment. For bank payments, collection may remain processing until the bank payment is confirmed.
Your accepted order identifies the initial charge, recurring amount, billing frequency, and next billing date.
By separately providing the payment authorization presented at checkout, you authorize the agreed initial payment and recurring payments under that authorization.
Payment details are handled through Stripe. Bank-account verification and debit authorization may be required.
Agreement acceptance does not replace Stripe’s required payment authorization or bank mandate.
We will not charge an increased amount for additional scope without your agreement.
Questions about charges, invoices, or payments: hello@getsumday.com.
Billing starts on the date your checkout payment is made. Services then renew automatically each month on the same day of the month (or the last day of a shorter month) until cancelled under section 14.
There is no minimum commitment.
Any adjustment for a change in scope during a billing month will be agreed with you in writing before it is charged.
7. What happens after checkout
We will send confirmation of your order or bank-payment status, followed by instructions for setup.
Those instructions will explain how to provide authorized access, share records securely, and identify the information needed to begin.
Purchasing does not require you to complete another form on the confirmation page.
Service delivery depends on successful payment arrangements and receipt of the access, records, and approvals necessary for the work.
If your bank payment requires verification or fails, we will explain the action needed to resolve it.
8. Scope validation and changes
During setup, we review your records against the accepted scope.
If your transaction volume, entities, historical periods, condition of records, or requested work differs materially from the order, we will explain the difference and propose any adjustment.
We will obtain your agreement before performing additional chargeable work or increasing recurring charges.
If we cannot agree on a revised scope, or cannot provide the purchased service, cancellation is handled under section 14. We will not automatically treat the difference as permission to charge more.
9. Client responsibilities
You agree to:
- Provide complete and accurate records and explanations.
- Give authorized access to the necessary platforms and accounts.
- Respond to reasonable information and approval requests.
- Maintain authority to share records concerning other people.
- Review reports and promptly raise questions or suspected errors.
- Retain responsibility for business decisions and required approvals.
- Inform us of changes that affect workload or service requirements.
Do not send passwords or complete payment credentials through general website forms. Use the access and document-sharing processes provided.
Missing information or delayed approvals can delay the work. We will communicate material effects on delivery.
10. Excluded services
Unless expressly included under a separate written engagement, services do not include:
- Audits, reviews, assurance, or attestation.
- Legal advice.
- Tax-return preparation or filing.
- Investment advice.
- Authority to sign for your business or release funds.
- CFO, controller, or other advisory work beyond the accepted scope.
Tax-accountant coordination does not mean tax preparation is included.
Financial reports depend on the available records and agreed accounting work. We do not guarantee a particular business, tax, financing, or financial outcome.
11. Software and subscriptions
We use appropriate accounting and workflow tools to deliver the services.
You agree to provide authorized access to your existing accounting platform where needed. We will explain any implementation or access requirements during setup.
Third-party subscription charges are included only where your accepted order or written scope expressly says so.
Providers may require their own agreements. We do not guarantee their availability or control changes to their services.
12. Confidentiality and personal information
We will use confidential client information to provide services, administer the engagement, or meet legal obligations.
Information may be made available to personnel, contractors, and service providers who need it for those purposes, subject to appropriate confidentiality arrangements.
Personal information is handled under our Privacy Policy and applicable law. Neither party is restricted from making a disclosure required by law.
13. Records and work product
You retain ownership of the business records you provide.
We will make the reports and agreed client deliverables available through the agreed delivery process.
Sumday retains ownership of its pre-existing methods, templates, tools, and internal working materials. You may use the delivered reports and agreed work product for your business purposes.
Record return, exports, access removal, and retention following termination will be handled under the agreed transition arrangements and applicable legal requirements.
14. Cancellation and refunds
Services are month-to-month, with no minimum commitment.
To cancel, email hello@getsumday.com with your order reference. Cancellation takes effect 30 days after we receive your request.
Services and charges continue until the cancellation takes effect, including any monthly charge that falls due during the notice period. No further recurring charges are made after that date.
Fees are non-refundable, including fees for the current or a partially used month and for historical cleanup, except where a refund is required by applicable law.
Withdrawing a payment authorization does not itself cancel the service agreement or eliminate amounts lawfully owed. Cancellation and payment authorization requests will be handled according to the applicable terms and law.
15. Concerns and service issues
Please contact hello@getsumday.com promptly if you identify an error, have a concern about the work, or need to discuss service delivery.
We will review the issue and discuss an appropriate response. Any agreed correction, revised scope, credit, or refund will be documented.
Nothing in this Agreement excludes rights or remedies that cannot lawfully be excluded.
16. Liability and disputes
To the fullest extent permitted by applicable law, Sumday is not liable for any loss or damage arising out of or relating to the services or this Agreement.
This does not exclude or limit any liability that cannot be excluded or limited under applicable law.
Governing law: this Agreement is governed by applicable United States federal law and the law of the state that applies under applicable conflict-of-law rules. No exclusive venue is selected for disputes.
No provision removes protections that cannot be waived under applicable law.
17. Agreement documents and changes
This Agreement includes the accepted order summary and any expressly incorporated scope document.
The website Terms (version terms-2026-10-27) apply to website use. If they conflict with this Agreement on the purchased services, this Agreement controls, subject to applicable law.
Material service or pricing changes require documented agreement. Updating a website page does not retroactively amend the version you accepted.
18. Acceptance and contact
By selecting the required agreement checkbox and completing checkout, your authorized representative accepts the version of this Agreement presented with the order.
A copy or durable link will be included in the order confirmation.
